These Consumer Purchase Terms and Conditions (the “Terms”) are between you and Ride Nation Electric Bikes (“RNEB”, “Ride Nation”, “we”, “our”, or “us”) and apply to all consumer purchases by you of any model of RNEB’s electric bikes (“ebike(s)”) and/or related accessories or other products offered by Ride Nation (collectively with ebikes, the “Products”) in the United States only. You accept these Terms by placing an order with Ride Nation.

1. Application

These Terms apply to your purchase of Products from Ride Nation in the United States only. The purchase and sale of Products are governed exclusively by these Terms. Additional terms from Ride Nation may apply to purchases made from Ride Nation-authorized retailers or third-party resellers.

2. Orders

When you place an order, you agree that it is an offer to buy the Products subject to these Terms. All orders are subject to acceptance by Ride Nation. We may choose not to accept any orders in our sole discretion. After receiving your order, we will send you a confirmation email with your order number and details of the items you ordered. Acceptance occurs when we ship the Product.

3. Prices and Payment

Prices for Products are subject to change without notice. Ride Nation reserves the right to correct any pricing errors. Payment must be made in full at the time of purchase, unless financing is selected through one of our third-party financing partners. We accept major credit cards and other payment methods specified at checkout. Sales tax is additional and will be calculated based on your shipping address.

4. Shipping and Delivery

We will arrange for shipment of the Products to you. Shipping and handling fees may apply. You will receive an estimated delivery date when your order is processed, but this is not guaranteed. Title and risk of loss pass to you upon delivery to the shipping carrier. Ride Nation is not responsible for delays outside its control, including but not limited to delays caused by the carrier or customs clearance.

5. Cancellations and Returns

You may cancel your order within 24 hours of purchase for a full refund. After that, cancellation may be subject to fees. You may return Products in accordance with our Return Policy, which is incorporated by reference into these Terms. To be eligible for a return, Products must be unused and in original packaging. Shipping fees are non-refundable unless the return is due to our error.

6. Limited Warranty

Ride Nation provides a limited warranty for its Products, described in our Warranty Policy available on our website. Warranty coverage varies depending on the Product. Please review the Warranty Policy carefully. This limited warranty gives you specific legal rights, and you may also have other rights under applicable law.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RIDE NATION SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR IN CONNECTION WITH THE PRODUCTS OR THESE TERMS. IN NO EVENT SHALL RIDE NATION’S LIABILITY EXCEED THE AMOUNT PAID BY YOU FOR THE PRODUCT GIVING RISE TO THE CLAIM.

8. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the State of [Your State], without regard to conflict of law principles. Any dispute arising out of or in connection with these Terms or the Products shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

9. Privacy

Your submission of personal information to Ride Nation is governed by our Privacy Policy. By placing an order, you consent to the collection, use, and disclosure of your personal information as described in our Privacy Policy.

10. Miscellaneous

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect. These Terms constitute the entire agreement between you and Ride Nation regarding the purchase of Products and supersede any prior agreements or understandings.

11. Liability

WE ARE ONLY LIABLE TO YOU FOR LOSSES WHICH YOU SUFFER AS A DIRECT RESULT OF OUR BREACH OF THESE TERMS AND WHICH ARE REASONABLY FORESEEABLE. OUR LIABILITY FOR SUCH LOSSES SHALL BE NO MORE THAN THE AMOUNT OF PURCHASE OF OUR PRODUCTS GIVING RISE TO SUCH LOSSES. WE ARE NOT LIABLE FOR ANY OTHER LOSSES. THESE TERMS DO NOT EXCLUDE OR LIMIT OUR LIABILITY (IF ANY) FOR: (i) DEATH OR PERSONAL INJURY CAUSED BY OUR GROSS NEGLIGENCE; (ii) FRAUD; (iii) FRAUDULENT MISREPRESENTATION; OR (iv) ANY MATTER WHICH IT WOULD BE ILLEGAL FOR US TO EXCLUDE OR ATTEMPT TO EXCLUDE OUR LIABILITY. YOU MAY HAVE OTHER RIGHTS GRANTED BY LAW AND THESE TERMS DO NOT AFFECT SUCH RIGHTS. We recommend contacting your insurance provider to determine if your current insurance policy would cover you in the event of an accident.

12. Warranty
Warranty Clauses/ conditions/ situations not covered under these terms of service would be subject to the discretion of RNEB.

Applicable Warranties on all bikes except when explicitly mentioned otherwise on the product description or your order.

Failure to follow Standard Scheduled Maintenance for your eBike will void your warranty.

*Cosmetic appearance, colour match and or size are not guaranteed with the replacement. Warranty for frames does not cover frame breakages caused due to misuse/abuse including overload by the user. Our warranty only covers manufacturing defects as determined by RNEB.

Warranty exclusions:

• Complete eBike if modifications are made including but not limited to modifying gear ratios, changing motor settings without RNEB’s authorization, etc.

• Batteries stored improperly/ without following the Battery Care Instructions on our Help Center.

• Bolt heads stripped while assembling/ disassembling any part.

• Axle and axle heads/ bolts damaged during assembly/ disassembly.

• Damage/ defect/ wear & tear caused by environmental factors such as moisture, humidity, corrosion, salt, etc.

• Damage caused due to improper assembly or misinterpretation of the assembly instructions/ videos.

• Damage caused due to the use of tools not supplied/ authorized by RNEB.

• Wear and Tear on the bike, bike parts, transmission/ drivetrain systems, components etc.

• Rubber, Plastic and Consumable parts on the bike.

• Remote Programming of the bike.

• eBike and Motor Controllers, Displays, or any other spare part sold separately from the bike.

• Shipping charges on all replacement/ serviced parts.

• Shipping charges on items that need to be sent to Service Centre for repairs/ returns.

• The bike shop fees for the removal, installation and or replacement of a part on the eBike.

• Shipping charges are non-refundable under all circumstances.

• Freebies including complete eBikes (under offer), accessories, etc.

Warranty Transfer:

Unless explicitly authorized by RNEB, all warranties are non-transferable and applicable only to the first owner of the product.

23. Terms of Purchase for Ride NationCare+
Standard Warranty is 2 years for regular eBikes, 90 days for demo/clearance eBikes, and none on free eBikes.

Start Date:
The extended warranty will begin the day following the end of the standard warranty.
eBike must be registered first to activate.

Inclusions

• The plan can be purchased within 30 days from the date of delivery or while placing the eBike order, whichever is earlier.

• The Ride Nation Extended Warranty Plans will cover the list of eBike parts as per the table for manufacturing defects under the respective plans.

• The Ride Nation Gold Plan is transferable once from the original buyer to another person subject to notifying the transfer of ownership to RNEB.

Exclusions

• Wear & tear on original parts as determined by RNEB.

• Shipping charges on damaged/serviced/replacement parts.

• Loss of capacity/range on batteries.

• Damage/defect arising due to failure to follow the Standard Maintenance Schedule and safety instructions.

• Diagnostic, removal, and installation charges.

• Defects/damages to other parts not on the list due to the malfunction of one of the parts covered under the plan.

• Consumables like brake pads, rotors, etc.

• Damage due to accidents, weather conditions, Acts of God, misuse, neglect, abuse, commercial use, alterations, modification, improper assembly, installation of parts or accessories not originally intended or compatible with the eBike as sold, operator error, water damage, stunt riding, exceeding weight and other limits, etc.

• Colour/decals matching the replacement parts.

Availability of Replacement Parts

In rare instances when the replacement part is not available or will take an exceptionally long time to arrive, RNEB will reimburse the cost (as defined by RNEB) of the item either as cashback or a Gift Card as determined by RNEB.
If an exact replacement is not available, RNEB reserves the right to supply parts of a different design and equal performance.

Motor

• RNEB will request that the motor be shipped to the Service Centre if the defect is fixable.

• Labour and parts cost is included in the motor service at RNEB’s Service Centre.

• If the defect is unfixable, RNEB will issue a refurbished replacement.

• Shipping charges are excluded for the motor service.

• For hub-motors, the maximum liability is the cost of the motor.

Cancellation & Refund

• The plan alone cannot be cancelled or refunded once the bike has been shipped.

• If the bike is returned under the first 14-day return window for a refund, 100% of the amount paid for the plan would be refunded.

• If RNEB decides to sever all relations with an owner under Section 19, the plan would be deemed terminated without a refund.
